On this 1st day of March, in the year 2003, at Horizon Games, in Houston, Texas, in accordance with HackMaster Association Bylaws, gather to create and establish this Southeast Texas Chapter of the HackMaster Association. The undersigned Officially Named HackMaster Groups with the authority of their Local Representatives agree to be bound in common purpose to the HackMaster Association Bylaws and to follow the rules, regulations, conditions and decisions contained within and resulting from this Charter.
The purpose of the Southeast Texas Chapter of the HackMaster Association will be to promote HackMaster events, organize local and regional tournaments, and provide ongoing support to Southeast Texas, GameMasters and Players.
Where this Charter conflicts with the most current version of the HackMaster Association Bylaws, the Bylaws will take precedence. The one exception to this rule is the term limit for the initial Officers Pro-Tempore (see below).
The Southeast Texas Chapter Region and area of influence will include any location within the State of Texas that falls within the boundary edged on the South by the Gulf of Mexico, on the North by Centerville, Texas, on the West by US Highway 77, and on the East by the Louisiana State Border. Any Official Named Group, recognized by Kenzer Co., playing predominately in this area, shall be considered within the Southeast Texas Chapter.
An Officially Named Group in the Southeast Texas Chapter must be registered, recognized and in good standing with Kenzer Co., and must abide by the HackMaster Association Bylaws as provided by Kenzer Co., and this Charter.
Local Representatives shall consist of a single HackMaster Association member from each Officially Named Group in the Chapter Region. A single person may not represent more than one Group, even if they are Official members of multiple Groups. It is advised that the GameMaster of each group be the representative for that group, but this is not required. No Officer of the Council may represent an Official Group of which they are a member.
The Council of Officers will consist of the President, Treasurer and Secretary as detailed below.
Upon first adoption of this Charter, three (3) officers will be nominated and appointed to fill the vacancies listed below. Within 180 days of the signing of this Charter a general Council meeting must be held at an Official HackMaster Retailer or event, to include Local Representatives of a majority of all officially named groups in the Southeast Texas Chapter, whereupon an election will be held to determine the officers for the next one (1) year. Prior arrangements may be made for Local Representatives to vote in absentia.
Each Officer and each Local Representative shall receive one (1) vote. All GameMasters and Players, not including those with trial memberships, are eligible to run for any of the vacancies on the Council of Officers. Notice will be given to all Southeast Texas Chapter Groups and posted on the HackMaster Association (HMA) web site (www.kenzer.com/hma/main) at least 30 days prior to the election. In lieu of physically attending this event, prospective voters may electronically submit their votes no earlier than 5 days prior to and no later than midnight local time the day prior to the meeting. All electronically submitted votes must be simultaneously sent to all Local Representatives and a Kenzer Co. representative. Valid addresses for all parties to receive this e-mail will be posted on the HMA website no later than 10 days before the election.
Any individual found to be voting more than once shall have all of their votes invalidated. Furthermore, such persons will have their name and HMA number submitted to the HMA for appropriate action.
This Charter shall establish three Officers to control and administer the Southeast Texas Chapter of the HackMaster Association. Each officer will serve the Role-Playing Community and the HMA for a period of one (1) year from the official ratification of this Charter.
It will be the duty of all Officers to faithfully represent their HackMaster Chapter to the best of their ability. At any time one feels they cannot fulfill the duties and responsibilities of their position, they may resign their Commission. Upon the resignation of an Officer, the remaining council will either appoint one of their own or another HMA Chapter member to fill the duties of the office pro-tempore. Within 90 days of this appointment, all Officers Pro Tempore must receive a majority vote of all Southeast Texas HMA Chapter Representatives to remain in office. At no time can an Officer hold more than one position on the Council of Officers.
All Officers and Local Representatives will actively seek to promote and recruit for the HMA, the HackMaster GameMasters Association and the HackMaster Players Association.
President
The President will serve as the main contact for Kenzer Co., and shall be responsible for ensuring this Charter and the Southeast Texas HackMaster Chapter remain at all times in compliance with applicable bylaws of the HackMaster Association. The President will organize and coordinate regional and local competition including a Regional HackMaster Tournament a minimum of once (1) per calendar year. In addition, the President shall ensure the other Officers are adequately fulfilling their duties and responsibilities as contained in this Charter. When necessary, the President will advise and assist other Officers with their duties and functions. Furthermore, the President will petition Kenzer Co., with the support of the local community, to bring the HackMaster Championship Tournament to the Southeast Texas Chapter as soon as is feasible.
Treasurer
The Treasurer will report to the President and will be responsible for collecting and accounting for the finances and the Treasury of the Southeast Texas HMA Chapter. The Treasurer will further be responsible for the purchase of prize support and other items for the Chapter as directed by the Council of Officers.
Secretary
The secretary will report to the above two Officers and will be responsible for maintaining an accurate database of all current and past Southeast Texas HMA members, Named Groups and when possible unofficial players and gamemasters. This database shall include a minimum of the member’s name, HMA number and last reported email address. In addition, the Secretary will assist the other Officers when required and will keep minutes at meetings.
In addition to the above officers, this Charter will allow, from time to time, the appointment of temporary officers or positions, when need dictates, with duties and length of service to be determined at such a time.
The Council will hold meetings periodically to plan and organize local and regional HackMaster events. These meetings will be made publicly known at least two (2) weeks in advance to all Local Representatives, Officers and Kenzer Co. Ideally, the Council will meet a minimum of once per calendar month to discuss happenings in the Chapter, but in no case will such meetings be held less frequently than once every three calendar months.
When the need arises, The Council of Officers will act as judicial body to any intra-party events or disputes where the reputation of the HackMaster community may be called into question. The intent will be to quickly and fairly resolve issues of concern to all involved parties.
The Council of Officers may also be requested to make a determination regarding any inter-party events or disputes that may threaten the reputation of the HackMaster Community.
During any meeting a Local Representative may formally announce relevant topics for discussion by the Chapter.
This Charter may be amended by majority vote of all Officers and Local Representatives upon receiving the advice of HMA Chapter members in the local area. This must take place at an Official meeting with at least two (2) Officers attending, one of whom must be the president. In the case of any ties in the voting, the Council shall recess for a short period to discuss the issue among themselves and the Local Representatives. When they return, another vote will be taken, and if a tie results it shall be the duty of the President, upon reflection, to cast the tie-breaking vote.
The Counsel of Officers shall seek, at all times, to best represent the HMA and the needs of the HackMaster community in general. Local Representatives shall, at all times, seek to best represent their group and the needs of the HackMaster community in general.
All official HMA Members not of an Official Named Group will be encouraged to join or create their own official group, and apply for status within this Charter.
New HackMaster Players, GameMasters and Groups will be included in the membership of the Southeast Texas Chapter of the HMA provided they are Officially recognized by the HMA and agree to this Charter and the most current Bylaws of the HMA.
